Herrington Carmichael’s corporate team were delighted to work alongside US law firm, Pacific Crest Law, in advising Silicon Valley based investment firm, Meson Capital, in its Series A investment in UK-based RBW Sports & Classics Limited.
Meson Capital Partners was founded in 2009 by Ryan Morris, and seeks to leverage entrepreneurial experience of its management team to invest in transformative and exponential technological developments across the globe.
RBW Sports & Classics Limited has combined the concepts of classic car craftsmanship and 21st century technologies to develop IP-rich, race-winning EV engineering in classic cars. Meson Capital’s investment in RBW’s technologies will underpin future growth prospects for RBW as it seeks to roll out its technologies globally.
The transaction involved a re-structure of RBW’s existing shareholding structure, prior to an incorporation of the US Newco investment vehicle. The Herrington Carmichael team involved in the transaction was led by Yavan Brar (Partner) and assisted by Chris Gemson (Solicitor), Alex Harper (Solicitor), Michelle Lamberth (Senior Paralegal) and Samuel French (Paralegal).
