Herrington Carmichael’s corporate team, led by Managing Partner, Yavan Brar, advised the shareholders of Qolcom on the sale of the entire issued share capital to a subsidiary of German listed entity, Bechtle AG.
Qolcom, founded in 2005, is a leading specialist systems integrator of digital workplace solutions, intelligent network infrastructure and security. It boasts an impressive £25m turnover in its previous financial year, with 44 employees.
Herrington Carmichael supported the sellers throughout in bringing the complex, multi-jurisdictional deal to a successful close alongside the sellers’ corporate finance advisers, Meridian Corporate Finance, led by Philip Mettam.
Bechtle’s acquisition comes off the back of two previous UK acquisitions made in the past 3 years, namely ACS Systems in 2022 and Tangible Benefit in 2023. The acquisition of Qolcom will further develop its presence in the UK’s business-to-business market.
As Keith Reading stays on as General Manager, we are excited to watch closely as Qolcom continues to develop on the back of its previous success with the opportunities for synergies provided by Bechtle’s international capabilities – with a presence in 14 European countries.
The Herrington Carmichael team was led by Managing Partner, Yavan Brar, and supported by;
Chris Gemson – Legal Director (Corporate)
Samuel French – Apprentice Solicitor (Corporate)
Michelle Lamberth – Senior Paralegal (Corporate)
Tom Hyatt – Solicitor (Employment)
“Yavan and the team at Herrington Carmichael supported us throughout the sale process, with clear and concise legal advice to ensure that we understood the terms of the transaction. The HC team were always available and assisted in making a complex transaction as simple as possible for the shareholders. We would recommend them to anyone in a similar position”
– Keith Reading, General Manager of Qolcom Limited
