Herrington Carmichael successfully advised Cennox Group, a global group expanding its portfolio of innovative companies within the technology, security and retail sectors, on the acquisition of Links Signs.
Links Signs has a strong reputation for providing high-quality signage and is one of the UK’s leading signage manufacturers for blue chip clients such as National Rail and the London Underground. This acquisition therefore marks a strategic move for Cennox and will significantly expand its signage offerings in the UK.
The transaction involved an extensive due diligence process, which included a change of control analysis in relation to Links Signs’ contracts and a thorough investigation of a variety of corporate governance matters.
The Herrington Carmichael team was led by Yavan Brar (Managing Partner, Corporate) and Chris Gemson (Legal Director, Corporate) who provided corporate advice throughout the transaction and were further assisted by Mark Chapman (Partner, Commercial), Bethany Goodhew (Trainee Solicitor, Corporate) and Michelle Lamberth (Senior Paralegal, Corporate).
It was a pleasure to work with the professional Herrington’s team of Yavan, Chris and Beth on the Links Signs acquisition. The team helped with all the transaction legal heavy lifting, along with advising on the commercial negotiations.
