Herrington Carmichael’s corporate team led by Head of Corporate, Yavan Brar, has advised Amazon Filters, one of Europe’s largest independent manufacturers of bespoke filter housings and cartridges, on its transaction facilitating the exit of BGF Investments from its investment in the company.
Amazon Filters is a leading international manufacturer with presence across a number of European jurisdictions. Founded in 1985, the company has grown to provide tailored filtration solutions across multiple industries including oil & gas, pharmaceuticals & healthcare and food & beverage.
The transaction involved working alongside KPMG to agree a steps plan which included a number of complex legal and tax requirements, prior to completing the share buyback, exiting BGF. Funding was provided by HSBC’s Structured Finance team, with security across the group’s UK and European subsidiary companies.
