Registered Office Address Services
Our company secretarial team provide an established registered office address service, operating on an annual subscription basis, to provide peace of mind to company directors by easing their administrative burden.
Our Service includes, but is not limited to:
- Filing the annual confirmation statement at Companies House, alongside timely filing deadline reminders for annual accounts filings.
- Keeping and maintaining the company’s statutory registers.
- Monitoring the company on Companies House for fraudulent filings.
- Receiving all post and communications addressed to the registered office address, and forwarding as appropriate to the directors.
- Using our dedicated email as the registered office inbox (as a result of new requirements under the Economic Crime and Corporate Transparency Act 2023).
An alternative exists for those companies that wish to maintain their own registered office address but still wish to make use of our specialist service. Herrington Carmichael can act as the designated Single Alternative Inspection Location (SAIL) address, meaning the company maintains it’s address, but still benefits from the service as outline above.
Simple Share Transfers
The shareholders of private limited companies limited by shares may occasionally wish to transfer their shares or, subject to the company’s articles of association, be required to transfer their shares. It is common to have a share purchase agreement governing the terms of a share transfer however, for some companies, such as a property management company, this may be disproportionate to the value of the shares being sold.
No matter what the business of the company may be, certain procedures must be followed to correctly transfer the share(s) to minimise the risk of any claims which may arise in the future. Whether it is a simple and low value transfer, or a more complex transaction, we are able to assist by drafting all the necessary ancillary documentation to approve and correctly transfer the share from the transferor to transferee. This includes a board minute for the Company approving the transfer, documents for director changes and to transfer the share.
Our advice also extends to assisting companies which are limited by guarantee. Instead of transferring shares, we are also able to assist by transferring the membership in the Company and provide the appropriate documentation to action the transfer in accordance with the company’s articles.
