The Opportunity:
Are you a detail-oriented legal professional with a passion for drafting and a sharp eye for technical detail? We are seeking an experienced Corporate Fee Earner (4-7 Years PQE) to join our dynamic team. If you thrive in a fast-paced environment and excel in handling complex corporate transactions, we want to hear from you!
You’ll be advising on a wide variety of corporate matters, including mergers and acquisitions, exits, equity investments, and debt investments. Our work spans across multiple sectors and jurisdictions, acting for clients of all sizes – from international listed businesses and large privately owned companies to venture capital firms, private equity houses, management teams, and high net worth individuals. Many of our matters involve cross-border transactions requiring both technical skill and commercial awareness.
Key Responsibilities:
- Play a key role in mergers and acquisitions, working alongside partners and senior solicitors, and leading on transactions where appropriate.
- Support asset purchase and sale transactions by drafting ancillary documents and facilitating progress throughout the deal lifecycle.
- Assist with business disposals by completing due diligence responses and preparing supporting documentation.
- Conduct and oversee comprehensive legal due diligence processes.
- Draft and review share purchase agreements, disclosure letters, and related documents.
- Handle completion and post-completion matters.
- Engage in a broad range of corporate legal work, including articles of association and shareholders’ agreements.
- Supervise junior lawyers and trainees, including managing their workloads and providing guidance and feedback.
- Contribute to business development initiatives and client generation projects to support the firm’s growth.
