Mphasis acquisition of Datalytyx assisted by Herrington Carmichael

Datalytyx, a leading next-gen data engineering and consultancy company, providing Next-gen Data Engineering, Data Ops and Master Data Management solutions on Snowflake and Talend environments to clients globally, was acquired by Mphasis, (BSE: 526299; NSE: MPHASIS), an Information Technology (IT) solutions provider specialising in cloud and cognitive services.

Herrington Carmichael’s, Head of Corporate and M&A team leader, Yavan Brar managed the transaction which saw Datalytyx and its shareholders complete a pre-sale reorganisation and transfer of part of its business to a separate corporate group (with holding company DataOps.live) prior to the sale of the entire issued share capital of Datalytyx to Mphasis.

Yavan was assisted on the corporate and reorganisation elements of the transaction by Senior Solicitor, Matthew Lea, with Commercial Partner, Mark Chapman and his team, acting on the commercial elements and Michelle Lamberth and her team dealing with the corporate governance aspects of the transaction.

With a handful of the shareholders of Datalytyx being located in overseas jurisdictions and the challenges Covid-19 has brought for signatures to be obtained in person, Herrington Carmichael’s team were able to oversee an e-signature process to sign over 600 transaction documents.
