Stephen is a Solicitor within our Corporate team. Having completed a corporate-focused training contract with the firm, Stephen qualified as a Solicitor in March 2025. Stephen advises on a wide range of corporate matters, including M&A, fundraising and restructuring, but has a particular focus on M&A in the Healthcare industry and EIS / SEIS investments.
In respect of Healthcare M&A, Stephen’s work includes advising on, drafting and negotiating the documents necessary to facilitate business purchases and sales, advising on the acquisition legal due diligence process, and managing transactions to ensure an efficient completion for clients. Whereas, in respect of EIS / SEIS investments Stephen advises on a Company’s eligibility for EIS / SEIS, assists with applications to receive formal EIS / SEIS clearance from HMRC in respect of the proposed transaction, and drafts the documents necessary to facilitate the equity investment.
Outside of work, Stephen enjoys watching sports (particularly rugby), going to the gym, and spending time with friends and family.
Experience
- Share purchase of residential care home business for £2.7 million.
- Share sale of technology company (including a rollover of equity) to a private equity firm for £7.3 million.
- Share sale of agronomy services and customer support company, and pre-sale disposal of assets to shareholders for £3.5 million.
- Assisted the Kenmore Group on its asset purchase of Hamilton Park Nursing Home, being its sixth acquisition in total as part of a buy-and-build strategy for growth.
- Eight stage capital reduction demerger and entry into EOT of IT business for £5.7 million.
- £60m share sale and reorganisation of SatixFy (a satellite communications company) to TSX-listed Canadian Satellite Builder MDA Ltd.
- Sale of majority shareholding in construction company to EOT for £12.7 million.
- Assisted an IT business on its equity investment and application for EIS / SEIS clearance from HMRC
