Brendon joined in August 2022 working in the commercial & regulatory law team, advising clients in all aspects of commercial and regulatory law including introducer agreements, supply of goods and services agreements, business terms and conditions and large-scale business to business commercial arrangements. Brendon specialises in advising on regulation in financial services and expansion into the UK from a commercial law perspective.

Brendon qualified as a lawyer in South Africa in 2007, working in the Commercial litigation department until 2021, advising insurers in all aspects of liability law. He registered with the UK’s Solicitors Regulation Authority in 2024 as a Registered Foreign Lawyer.

In his spare time, Brendon loves playing cricket, watching rugby and braaing with family and friends.

Experience

  • Assisting in drafting application for an Australian insurance broker in respect of FCA authorisation for its UK subsidiary which included drafting required regulatory business plan, Consumer Duty and other relevant policies and manuals / programmes.
  • Assisting in providing regulatory advice to a UK financial services firm on successful appointment of overseas Appointed Representative, to include advice and assistance with Controlled Function applications.
  • Assisting with drafting and advising on deed of variation to pension scheme rules in connection with scheme transfer and advice on publication requirements.
  • Assisting with regulated activities analysis for an international service provider in the context of payment services.
  • Whilst practicing in South Africa, some key matters included:
    • Drafting and negotiating a multi-million-pound Joint Venture Agreement to prospect for oil.
    • Negotiating and drafting large settlement agreements between insurers and third parties in respect of liability claims.
    • Advice and facilitation of process for overseas client to homologate vehicles into South Africa.
  • Assisting with drafting and negotiating exclusive IP license agreement and bespoke services agreement with zero carbon home manufacturer based in Europe as well as drafting intra group agreements.
  • Assisting on production of template agreement for exclusive distribution of products and support services to a network in the automotive refinishing industry. Complexities included application of discounts, flow down of warranties and restrictive covenants.
  • Assisting in reviewing and drafting terms and conditions for waste management, equipment maintenance, equipment rental and sale of equipment for a leading supplier of waste management services.
