Our Corporate Team provides strategic and legal advice to management teams on their options if they are contemplating buying out a business or are buying into a business. 

A management buyout (MBO) describes a transaction where the existing management team of a business purchases all or part of that business from its current owners.  A management buy-in (MBI) is similar to an MBO, but involves external managers leading the acquisition.

It can be very difficult for a management team to continue managing the business day to day whilst ensuring that all of the legal and financial steps required are completed to finalise the management buy-out or buy-in. Our team provides the support required in liaising with management teams, sellers, vendors and funders to ensure that target dates are met.

Where we act for a funder, understanding the goals for that funder is paramount when looking at the legal protections. Most funders will have an understanding of what it is that they require; debt or equity, and also on how they wish to see their returns represented. We have experience of most of the usual styles of investment and have worked on a number of more unusual structures as well.
