Whatever your due diligence/legal audit requirements are, we can offer you a bespoke and cost effective service, including:

  • Preliminary investigative due diligence on a company or business that you are proposing to purchase or invest in;
  • Full due diligence as part of a company or business acquisition;
  • Legal audits as part of an exit strategy/exit planning;
  • Due diligence reports on your company/business for internal compliance/reporting purposes;
  • Due diligence reports for financial/lending purposes; and
  • On-line data rooms.

Legal audits
Most business owners plan to sell their business at some point in the future, whether as part of their retirement plans, to give them time to develop another business idea or simply to realise their investment. The earlier exit planning is started, the better.

Pre-sale legal audits are an important part of any business owner's exit strategy. In short, they involve the seller's lawyers performing legal due diligence on the business, similar to that which any prudent buyer's lawyer would perform.

There are many benefits of undertaking a pre-sale legal audit, including:

  • the seller has time to address any issues uncovered, ensuring that the value of the business is maximised by limiting the scope for the buyer to renegotiate the purchase price as a result of an adverse due diligence exercise; and
  • ensuring that the business is compliant with applicable legislation, revenue streams are secured and that relevant policies and procedures are in place, making the business as attractive as possible to potential buyers and paving the way for a smooth exit.

Due Diligence
We can assist with the collation of replies; supporting documentation and the final disclosure letter or report as appropriate.

We can offer either an on-line data room that you and your other advisers and, where appropriate, another party and their advisers can view during the course of the process or alternatively we can collate disclosure documents in paper form, whichever suits you best.
